Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Circulairs mobile application ("App") operated by Circulairs ("we," "us," or "our").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years of age to use the App. If you are under 18, you must have the consent of a parent or legal guardian. By using the App, you represent that you meet these requirements.

2. Account Registration

To use the App's features, you must create an account using a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Description of Services

Circulairs provides a wardrobe management platform that includes:

• Wardrobe organization: cataloging clothing items with photos, categories, and attributes
• AI-powered image processing: automatic background enhancement and clothing attribute analysis
• Look creation: combining wardrobe items into outfit combinations, including AI-generated outfit composites
• Outfit planning: calendar-based outfit scheduling with weather forecast integration
• Wishlist management: tracking items you wish to acquire

4. User Content

4.1 Ownership

You retain ownership of all content you upload to the App, including photographs of your clothing items ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving the App's services.

4.2 AI Processing

When you upload images, they are processed by our AI services for background enhancement and attribute analysis. AI-generated outputs (enhanced images, outfit composites, attribute data) are created to serve you within the App. You acknowledge that:

• AI-generated results may not always be perfectly accurate
• Clothing attributes identified by AI (color, material, brand, etc.) are suggestions and should be verified by you
• AI-generated outfit composites are artistic representations and may differ from real-world appearance

4.3 Prohibited Content

You agree not to upload content that:

• You do not have the right to share
• Is illegal, harmful, threatening, abusive, or otherwise objectionable
• Infringes on the intellectual property rights of others
• Contains malware or is designed to disrupt the App's functionality
• Depicts individuals without their consent (in contexts beyond personal wardrobe use)

5. Acceptable Use

You agree to use the App only for its intended purpose of personal wardrobe management. You may not:

• Reverse engineer, decompile, or disassemble the App or its AI services
• Use the App to develop competing products or services
• Attempt to gain unauthorized access to our systems, servers, or other users' accounts
• Use automated tools (bots, scrapers) to access the App
• Circumvent any usage limits, security measures, or access controls
• Resell, redistribute, or sublicense access to the App or its features
• Use the AI features for purposes unrelated to wardrobe management

6. Intellectual Property

6.1 Our Property

The App, including its design, code, AI models, features, branding, and documentation, is owned by Circulairs and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the App as described herein.

6.2 Feedback

If you provide us with suggestions, ideas, or feedback about the App, you grant us the right to use such feedback without restriction or compensation to you.

7. Third-Party Services

The App relies on third-party services, including:

• Firebase (Google) for authentication, data storage, and cloud functions
• Apple WeatherKit for weather data
• Apple frameworks (AVFoundation, CoreLocation, PhotosUI) for device features

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

8. Fees and Subscriptions

The App may offer free and paid tiers of service. If applicable:

• Payment is processed through Apple's App Store
• Subscription terms, pricing, and renewal policies will be clearly presented before purchase
• Refunds are handled in accordance with Apple's App Store refund policies
• We reserve the right to modify pricing with reasonable notice

9. Disclaimers

9.1 "As Is" Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 AI Accuracy

We do not guarantee the accuracy of AI-generated outputs, including clothing attribute analysis, image enhancements, or outfit composites. AI features are provided as tools to assist you and should not be solely relied upon for purchasing decisions or other consequential actions.

9.3 Weather Data

Weather forecasts are provided by Apple WeatherKit and are for informational purposes only. We do not guarantee the accuracy of weather data and are not responsible for outfit decisions made based on weather forecasts.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CIRCULAIRS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claims arising from or related to these Terms or your use of the App shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Circulairs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Any User Content you upload to the App

12. Termination

12.1 By You

You may stop using the App and delete your account at any time. Upon account deletion, we will delete your data in accordance with our Privacy Policy.

12.2 By Us

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, suspected fraudulent or abusive activity, or discontinuation of the App.

12.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. Sections 4.1 (to the extent of existing licenses), 6, 9, 10, 11, and 14 survive termination.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date at the top of this document and, where appropriate, through in-app notifications. Your continued use of the App after changes are posted constitutes your acceptance of the updated Terms.

14. General Provisions

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands. If you are a consumer, the mandatory consumer protection laws of your country of residence also apply.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands. If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Circulairs regarding the App.

14.5 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.6 Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
